Landowners’ Rights under Flat-for-Land Construction Contracts

Flat-for-land construction contracts create a complex legal relationship between landowner and contractor. In practice the most common problem is the contractor’s failure to deliver the building on the time or terms set out in the contract.
Core rights of the landowner
On delay the landowner may elect delay damages, termination, or completion of the works at the contractor’s expense. Those alternative rights must be exercised in good faith and in the manner best suited to the circumstances.
Security
In practice, lifting annotations of land shares granted to the contractor, or obtaining a bank letter of guarantee, are among the most effective protections. Putting those tools in place before the contract is signed is essential.
Recommendations
Investigate the contractor’s record and financial standing before contracting; include detailed terms on implementation drawings and permit conditions; and set out delivery conditions, the title-transfer timetable and contractual penalties clearly.
